L7 Funded Account Terms

8AAK55 Limited | Funded Performance Accounts

These L7 Funded Account Terms (Funded Terms) are an agreement between you (Trader) and 8AAK55 Limited, a company incorporated in the British Virgin Islands (8AAK55, FundedCo, we, us). FundedCo provides activated L7 Select Funded Accounts and owes Performance Payouts earned under these Funded Terms. L7 Holdings Group Inc., the Delaware Evaluation merchant, is a separate company and does not guarantee FundedCo obligations merely because both use the L7 brand.

Following a Verified Pass, FundedCo may issue a conditional funded offer showing the proposed notional balance, limits, payout terms and Funded Account Specifications. You accept these Funded Terms, the incorporated L7 Select Rulebook, L7 Commercial Rules & Pricing and those conditional Specifications by checking an initially unchecked agreement box while signed in to your L7 account, before starting Sumsub KYC. Upon electronic acceptance, these pre-activation obligations become binding: eligibility, identity and truthfulness representations; timely submission of verification information and compliance cooperation; account and device security; prohibited conduct and restrictions on misuse; confidentiality; data-protection provisions (without replacing any separately required privacy or biometric notice or consent); electronic notices and communications; dispute resolution; and liability and indemnity arising from pre-activation conduct. The corresponding provisions survive withdrawal or expiry to the extent their nature requires and law permits. Funded trading access, performance measurement and Performance Payout rights operate only after FundedCo expressly confirms activation. Acceptance alone does not verify eligibility, activate an account or confer any entitlement to notional buying power or compensation.

FundedCo may, in its sole discretion exercised in good faith and subject to applicable law, approve, approve with conditions, defer, withdraw or decline activation, including where individual verification steps have been completed. Its considerations may include, without limitation: identity and age; residence, location, nationality and legal eligibility; KYC, AML, sanctions, PEP or fraud concerns; information accuracy; Evaluation and linked-account history; trading strategy, repeatability, concentration and risk management; security, misconduct or payment disputes; market conditions, liquidity and hedging suitability; provider, venue and infrastructure requirements; capital availability and proprietary risk appetite; and other legitimate legal, compliance, commercial, strategic or operational considerations relevant to offering the Funded Account. An unresolved screening alert will be reviewed appropriately rather than treated as conclusive. FundedCo need not disclose confidential scoring, models or capital-allocation decisions except where required by law. If the final funded offer materially changes the accepted notional amount, leverage, risk limits, instruments, payout terms or other rights, FundedCo will present the revised offer for fresh affirmative acceptance before activation. If the terms remain unchanged, a second signature is unnecessary. A funding decline does not of itself revoke a valid Evaluation pass or Certificate, and Evaluation refunds remain governed by the Refund Policy and mandatory law.

1. Simulated account; no custody or capital mandate

Every standard Funded Account is simulated/notional. The displayed starting balance, equity, positions and buying power are performance measures and are not cash, securities or virtual assets owned, deposited, entrusted to or withdrawable by you. You receive no title, possession, beneficial interest, margin account, property right or authority over FundedCo capital or its real-market transactions. No simulated order constitutes a binding order for FundedCo to execute externally. A separate written live mandate would be required to grant real proprietary trading authority.

2. Trading signals and independent proprietary activity

You submit simulated trading decisions, orders and related Trading Data. FundedCo and its proprietary capital affiliates may evaluate, copy, counter-trade in the opposite direction, hedge, aggregate, net, resize, delay, modify or disregard these signals using their own assets. FundedCo chooses instruments, timing, venue, size and direction independently. It may take no real position at all. You cannot direct or prevent any such transaction and have no entitlement to FundedCo’s proprietary gains, rebates, financing benefits, positions, execution records or trade allocation.

FundedCo’s actual trading result, including losses from counter-trading, is entirely independent of your simulated P&L and contractual Performance Payout. FundedCo will not selectively worsen profitable simulated results, fabricate a breach or refuse a valid earned payout because it lost money, did not copy you or chose a different hedge. Genuine corrections follow the accepted Rulebook.

3. Trading Data, IP and privacy

FundedCo may use Trading Data generated through your Funded Account for performance measurement, account integrity, security, compliance, analytics, model improvement and proprietary trading. You grant FundedCo and its service affiliates a worldwide, nonexclusive, royalty-free right to use that generated Trading Data for those purposes during and after participation. This does not assign ownership of your independently developed source code, unpublished strategy code or underlying methodology. Your compensation for activity under this contract is the Performance Payout, not a separate share of profits arising from use of Trading Data. Personal information is processed as described in the L7 Group Privacy Policy.

4. Risk limits and permitted conduct

All simulations are subject to the accepted Rulebook, Commercial Rules and personalized Specifications, including daily trailing and static drawdowns, leverage, permitted markets, positions, simulated fees and trading conduct restrictions. Server-side records determine limits and results subject to documented errors. FundedCo may pause or close an account on breach, prohibited conduct, sanctions, venue restriction or a legitimate security concern. Legitimate strategy or profit alone is not prohibited. Your ordinary simulated market losses do not create a personal obligation to reimburse FundedCo or its proprietary hedge losses.

5. Performance Payout rights

Performance Payout means a contractual amount calculated from eligible net realized simulated performance under the accepted Rulebook and Commercial Rules. The current standard split, threshold, full-profit sweep, loss limits and payout asset are in the Commercial Rules and account Specifications. A payout is earned at a valid request when the published threshold and objective conditions are satisfied, all positions are closed or finally resolved, and the server ledger snapshots and reserves the eligible amount. Administrative review verifies entitlement; it is not an unrestricted right to refuse a payout generated under valid accepted rules.

A later trading loss by FundedCo, change in proprietary trading strategy, a decision to stop copying or counter-trading, or closure of an account for prospective business reasons does not extinguish an earned payout. An unearned positive simulated balance below the published earning threshold is not a cash claim and may be lost after a valid trading breach. A demonstrable technical error, prohibited conduct or mandatory legal restriction may justify a documented correction or lawful hold under the Rulebook.

6. Payout review, settlement and account reset

Payout requests are processed according to the published Commercial Rules and accepted Specifications. FundedCo may place a time-limited, documented hold for sanctions, wallet risk, identity, account compromise, fraud, invalid trades, data defects or legally required investigations. It will retain the earned amount in its ledger during that process, provide the applicable reason category where lawful and offer human reconsideration of material denials within the Rulebook appeal period. It may deduct disclosed network fees and legally required withholding.

Upon verified blockchain settlement, a standard full-profit-sweep account resets its simulated balance and risk trackers as described in the Rulebook. A pending, rejected or failed transfer cannot erase a valid payable or prematurely reset the account. Any transfer is compensation from FundedCo, not a withdrawal of simulated funds, deposits or underlying proprietary capital.

7. Identity, wallet and eligibility

You represent that you are at least 18, lawfully eligible in your place of residence and not acting for a restricted person. After accepting the conditional funded agreement, you must complete Sumsub (or an identified replacement provider) identity and liveness verification, provide correct residence and other necessary information, and cooperate with sanctions/PEP, anti-fraud, duplicate-account, security and applicable geographic checks. The initial required submission must be made within the seven-calendar-day offer period specified in these Terms unless FundedCo grants an extension. Any required Sumsub/privacy or biometric notice and consent is separate from the funded-contract checkbox and is presented before the relevant data is collected. FundedCo may request further proof, correct inconsistencies and link the verified legal identity to your original acceptance. False identity, failed or incomplete verification, ineligible jurisdiction, confirmed sanctions restriction, material integrity issues or legitimate provider/risk concerns may prevent activation; an unconfirmed screening alert is subject to appropriate review. FundedCo may also request re-verification, proof of payout-wallet control and necessary tax or anti-fraud details after activation. You are responsible for accurate payout address and network details; transfers to an incorrect, unsupported or compromised address you supplied may be irreversible.

Seven-day conditional-offer window. You must accept the conditional offer and submit the initial required identity verification information within seven (7) calendar days after the offer was issued, unless FundedCo specifies a longer period. If either action is not completed in time, FundedCo may withdraw the conditional offer and close onboarding upon notice, without an obligation to activate a Funded Account. FundedCo may extend or reopen the period. Where initial information was submitted on time, a delay attributable to Sumsub, FundedCo or an ongoing verification review does not by itself cause expiry; you must respond to reasonable further requests within the period communicated for that request. Withdrawal or expiry does not alone invalidate an otherwise valid Evaluation pass or Certificate. Any subsequent offer may use the eligibility requirements and terms then in effect.

8. Independent relationship and taxes

You are an independent participant furnishing simulated Trading Data; nothing creates employment, partnership, fiduciary, investment-advisory, brokerage, customer-asset custody or principal-agent authority to bind FundedCo. There is no salary, minimum term, guaranteed reward or employment benefit. You are responsible for personal taxes, reporting and lawful obligations arising from Performance Payouts, subject to any tax withholding legally required of FundedCo. Do not hold yourself out as managing L7 capital, personally owning the displayed notional allocation, or being employed or regulated through L7.

9. Security, conduct and confidentiality

Keep account credentials, devices, API keys and payout wallets secure. Do not share accounts, falsify identity, manipulate or exploit simulation mechanics, coordinate opposing accounts to manufacture payouts, try to induce or front-run FundedCo proprietary positions or breach the Rulebook. Nonpublic information about FundedCo algorithms, hedge ratios, venues, accounts, capital, security controls, provider limits and risk models is confidential and may be used only for participation unless law requires disclosure; that duty survives termination. This duty does not prohibit lawful reporting to regulators or truthful review or criticism.

10. Market and system interruptions

Simulation and payout infrastructure depends on third-party venues, data, prediction resolutions, blockchain networks, stablecoin issuers, identity and payment providers. Outages, slippage, erroneous marks, blockchain congestion and market changes can affect operations. FundedCo may pause a market, apply a reasonable documented fallback, delay settlement for a genuine exceptional event or restrict new activity for risk/security/law, but may not use an unrelated event to retroactively manufacture a breach or cancel a valid earned payout.

11. Suspension, termination and effect

Before activation, FundedCo may withdraw a conditional offer, close onboarding or defer/decline activation in its sole discretion exercised in good faith and subject to law, including for the eligibility, compliance, integrity, strategy, proprietary-risk, commercial, capital, security, provider and operational considerations described above. Offer expiry or decline creates no activated Funded Account or Performance Payout entitlement, does not alone invalidate a valid Evaluation Certificate and leaves any Evaluation refund rights to the applicable Refund Policy and non-waivable law. Once activated, FundedCo may suspend, restrict, reduce or terminate future participation for a risk breach, fraud, false KYC, security compromise or legal/provider restriction, and also for bona fide commercial, strategic, capital-allocation, proprietary-risk, operational or other legitimate business reasons even where the trader has not breached a rule. It may act immediately where reasonably necessary to protect systems, capital or compliance, and otherwise gives notice where practicable. You may request closure at any time. No minimum duration, continued notional allocation, renewal, scaling or future funded opportunity is guaranteed. Closing access does not itself cancel a payout already earned and reserved; subject to documented corrections, established lawful set-off and mandatory payment restrictions, earned compensation remains due. Below-threshold simulated performance remains subject to the accepted Rulebook at termination.

12. Changing the Rulebook and Commercial Rules

FundedCo may amend the Rulebook and Commercial Rules prospectively and make the latest versions available through the L7 interface. Your accepted versions/Specifications govern valid completed activity and earned compensation. Material economic changes to an active account require the notice and renewed acceptance required by applicable law and the change provisions of the Rulebook. Immediate prospective measures may be necessary for law, sanctions, security or material venue/market-integrity concerns. New rules cannot rewrite valid prior activity or remove earned compensation.

13. Warranties, liability and indemnity

To the maximum lawful extent, the simulated Funded Account and platform are provided as available without implied warranties of continuous availability or profitable outcomes. FundedCo does not guarantee that a signal will be traded, that any trader will become profitable or that an account will be scaled. Indirect, consequential, special, punitive and loss-of-opportunity damages are excluded where legally permitted. Except for earned unpaid Performance Payouts and non-excludable liability, FundedCo’s aggregate liability arising under these Funded Terms is capped at the greater of Performance Payouts paid or payable in the preceding three months or US$500. No limitation excuses fraud, willful misconduct or failure to pay earned compensation.

You indemnify FundedCo and its affiliates, to the extent lawful, against third-party claims and direct losses from your fraud, intentional misconduct, unlawful acts, sanctions evasion, misuse of confidential information, infringing software or material account/Rulebook breach. Ordinary authorized simulated trading losses and FundedCo’s independent proprietary losses are excluded.

14. Governing law and disputes

These Funded Terms are governed by the laws of the British Virgin Islands, subject to non-waivable law. Before proceedings, the complaining party must send a written dispute notice to legal@l7.exchange and permit 30 days for a good-faith resolution, except urgent protective relief. Except qualifying small claims where available and urgent relief concerning fraud, security, IP or confidentiality, disputes under these Funded Terms will be finally determined by arbitration administered by the BVI International Arbitration Centre under its applicable Arbitration Rules, seated in the BVI, before one arbitrator in English. Claims are individual rather than class or representative proceedings to the maximum lawful extent.

These funded disputes are between the trader and 8AAK55 Limited; Delaware Evaluation arbitration does not replace this funded agreement. Electronic communications and acceptance are permitted. Notices may be served by email or L7 account message where lawful. A downloadable record of the accepted documents and Specifications is available through the account.

15. Entire agreement and contact

These Funded Terms, the incorporated Rulebook, Commercial Rules, conditional Specifications and any later revisions you expressly accept form the funded contract and supersede inconsistent marketing. The pre-activation obligations enumerated at the beginning of these Terms bind you from electronic acceptance and continue after withdrawal or expiry to the extent their nature requires and law permits; no funded trading or payout entitlement arises without recorded activation. A seven-day offer expiry closes the conditional onboarding opportunity, not the historical acceptance record or accrued pre-activation obligations. If the accepted account terms remain unchanged, no second checkbox is required; FundedCo records activation after verification and approval. Invalid clauses do not affect the remainder. You may not transfer an account without consent; FundedCo may assign to a successor assuming its obligations, subject to law. Contact: 8AAK55 Limited (BVI), legal@l7.exchange.
